IMPORTANT! PLEASE CAREFULLY READ THESE DRAFTKINGS REIGNMAKERS UFC FRANCHISE SCORING RULES BEFORE PARTICIPATING IN THE DRAFTKINGS REIGNMAKERS UFC FRANCHISE SCORE PROGRAM AND BEFORE REDEEMING OR ATTEMPTING TO REDEEM ANY DRAFTKINGS REIGNMAKERS UFC FRANCHISE SCORE PRIZES, AS THESE RULES AFFECT YOUR LEGAL RIGHTS AND OBLIGATIONS.

USER AGREEMENT

DK Crown Holdings Inc. and its affiliate(s) (individually and collectively, “DraftKings”) are pleased to offer holders of DraftKings Reignmakers UFC fighter game cards (“UFC Game Cards”) the opportunity to participate in the DraftKings Reignmakers UFC Franchise Score (the “Program”) and the opportunity at various times to win prizes based on your DraftKings Reignmakers UFC Franchise Score (“Score”). Your participation in the Program and receipt of any prizes through the Program is subject to and governed by these DraftKings Reignmakers UFC Franchise Scoring Rules (the “Rules”), DraftKings’ privacy notice (available by clicking HERE) (“Privacy Notice”), the DraftKings daily fantasy sports terms of use (available by clicking HERE) (“DFS Terms of Use”), and the DraftKings Marketplace terms of use (available by clicking HERE) (“Marketplace Terms of Use” and, together with the DFS Terms of Use, the “Terms of Use”), each as revised from time to time and incorporated herein (the Rules, the Privacy Notice, and the Terms of Use shall collectively be referred to as the “Agreement”). You agree and understand that DraftKings may disclose certain information that you share with DraftKings, pursuant to the Privacy Notice. In addition to other remedies provided in the Agreement, your failure to comply with these Rules or the Terms of Use may, among other things, result in disqualification from the Program, removal from the Program, and forfeiture of any prizes as determined by DraftKings in its sole and absolute discretion for any reason or no reason. DraftKings reserves the right to modify, suspend, or terminate the Agreements or the Program in its sole and absolute discretion, for any reason or no reason, at any time and without notice, including, without limitation, modifying the calculation of the Score, effective immediately, and it is your responsibility to review the Agreements for any modifications. Your continued participation in the Program constitutes your acceptance of any modifications to the Agreements.

DraftKings reserves the right, in its sole and absolute discretion, for any reason or no reason, to exclude any individual(s) from the Program or remove any individuals(s) from participation in the Program, including, without limitation, in instances where DraftKings determines, in its sole and absolute discretion, that there are irregularities, fraudulent activities, or abuses occurring in connection with the individual's participation in the Program or purchase of UFC Game Cards. Additionally, DraftKings may modify your Score, withhold any prizes and rewards awarded to you in connection with the Program, and/or require you to return any prizes and rewards distributed to you in connection with the Program in DraftKings’ sole and absolute discretion for any reason or no reason. By participating in the Program, you: (i) consent to the release of certain personal information to DraftKings for purposes related to participation and eligibility for participation in the Program; (ii) agree to execute documents as DraftKings may reasonably request and within the time frames communicated by DraftKings; (iii) agree to respond in a timely manner to DraftKings’ reasonable requests, including, but not limited to, requests for information; and (iv) agree, at all times while participating in the Program, to use best efforts to uphold the good name, image, and reputation of DraftKings and to refrain from making any statements or engaging in conduct that could damage or bring into disrepute the name, image, and/or reputation of DraftKings. In the event you engage in behavior that, as determined by DraftKings in its sole and absolute discretion, is obnoxious or threatening, illegal, or that is intended to annoy, abuse, threaten, or harass any other person, DraftKings reserves the right to withhold, terminate, and/or require the return of any prizes and rewards related to the Program with no further compensation to you. In such event, and without limiting any other rights of DraftKings, such prize winner may also be required to reimburse DraftKings for the prizes and/or reward.

You agree to the provisions of these Rules by your participation in the Program (including, without limitation, by affirmative confirmation on the DraftKings Marketplace, DraftKings Reignmakers, or elsewhere or by accepting any prize and/or reward related to this Program). IN THE EVENT YOU DO NOT AGREE TO BE BOUND BY THESE RULES, DO NOT PARTICIPATE IN THE PROGRAM. In the event you wish to be excluded from the Program, you must contact support@draftkings.com and terminate your DraftKings user account. By participating in the Program, you acknowledge that you have read and agreed to the provisions set forth in these Rules without modification thereto. This Agreement constitutes a legal agreement between you and DraftKings and shall apply and be binding on you even after termination of your DraftKings user account, your removal from the Program, the termination of the Rules, and/or the suspension or termination of the Program.

HOW SCORING WORKS

Your Score is determined by the cumulative value of the base Program points associated with each UFC Game Card from the current UFC season you are holding in your DraftKings Marketplace wallet, plus any set and card multipliers and bonus points and boosts outlined below. For purposes of the Program, the UFC season is January 1 to December 31. Each UFC Game Card lists the UFC season the UFC Game Card is from. Any UFC Fighter Cards contained in unopened packs will not contribute to your Score.

You will earn a base amount of Program points for each UFC Game Card from the current UFC season you are holding in your DraftKings Marketplace wallet based on each card’s Rarity Tier as set forth in the table below:

Any UFC Game Cards released on the primary market by DraftKings prior to the current UFC seasons will contribute to your Score at a reduced rate. UFC Game Cards that are from the immediately preceding UFC season will be worth (i) fifty percent (50%) of their original Program points in the event the fighter did not compete in a UFC fight during the immediately preceding UFC season or (ii) ten percent (10%) of their original Program points in the event the fighter competed in a UFC fight during the immediately preceding UFC season. UFC Game Cards that are from any season before the immediately preceding UFC season will be worth five percent (5%) of their original points.

DraftKings may award additional points to individuals’ Scores as prizing or rewards for completing or participating in certain promotions or UFC Game Cards collection missions.

You understand and acknowledge that your Score shall be made public and displayed in conjunction with the operation of the Program on leaderboards and in any other way deemed appropriate by DraftKings for the duration of the Program, and in perpetuity as DraftKings deems fit. Such leaderboard is not final, may not be accurate and/or up to date, and will not be used to determine an individual’s Score.

PRIZES

Eligibility for prizes and rewards in the Program will be based on your Score at a specific date and time (the “Snapshot Date”). The Snapshot Date for particular Program prizes, rewards, and/or promotions will be announced throughout the year. All upcoming Snapshot Dates are listed on the Franchise Score landing page.

In the event of a tie between two (2) or more individuals for any Program prize and/or reward, the individual with the most UFC Game Cards in their DraftKings Marketplace wallet at the Snapshot Date will be deemed the winner of the prize. In the event two (2) or more tied individuals have the same number of UFC Game Cards in their DraftKings Marketplace wallet at the Snapshot Date, the number of Legendary Rarity Tier UFC Game Cards in the individual’s DraftKings Marketplace wallet at the Snapshot Date will be used as a tie breaker followed by the number of Elite Rarity Tier UFC Game Cards in the individual’s DraftKings Marketplace wallet at the Snapshot Date, then the number of Rare Rarity Tier UFC Game Cards in the individual’s DraftKings Marketplace wallet at the Snapshot Date, and then the number of Core Rarity Tier UFC Game Cards in the individual’s DraftKings Marketplace wallet at the Snapshot Date. In the event after all tie breakers, two (2) or more individuals are still tied for any Program prize or reward, DraftKings, in its sole discretion, may either split the prize or reward between the tied individuals or split the approximate retail value of the prize or reward between the tied individuals and not award the actual prize or reward to any individual.

In order to claim a prize or reward under the Program, the winner must execute all documents as DraftKings may reasonably request and respond in a timely manner to DraftKings’ reasonable requests to facilitate prize or reward fulfilment. In the event a winner is not able to meet or violates these Rules or the Terms of Use, as determined by DraftKings in its sole discretion, that winner may not be entitled to the prize or reward, or any other prize, reward, compensation, or monetary value whatsoever, as determined by DraftKings in its sole discretion, for any reason or no reason, and DraftKings will have no further obligation to that winner. Winner(s) may be taxed on the fair market value of their prize and reward depending on applicable law, and all such tax liability is the responsibility of the winner(s).

DraftKings reserves the right to substitute any prize or reward from the Program with an equivalent prize of equal or greater value. Prizes cannot be substituted, assigned, transferred, or redeemed for cash by the winner; however, DraftKings reserves the right to make equivalent prize substitutions at its sole and absolute discretion for any reason or no reason. DraftKings will not replace any lost or stolen prizes or rewards. DraftKings is not responsible for any delay or cancellation of prize or reward delivery due to unforeseen circumstances or circumstances outside of its control. Additional restrictions, conditions, and limitations associated with a prize or reward may apply.

TRAVEL AND ACCOMMODATIONS

In the event a prize in the Program involves travel and/or any in person experiences, the following terms shall apply to such prize in addition to any other terms or conditions associated with such prize:

The prize winner and any guests of the prize winner must follow all policies instructions, and requirements of DraftKings. The prize winner and any guests of the prize winner must follow all health and safety protocols put in place by DraftKings or any hotels or venues associated with the prize, which may include COVID-19 testing requirements, wearing masks, and social distancing. The prize winner and any guests of the prize winner may additionally be required to sign an assumption of risk or waiver in order to participate in or attend any events associated with a prize. DraftKings or any hotels or venues associated with a prize may prohibit any prize winner and any guests of the prize winner from participating or attending any events or experiences associated with a prize in the event such individual or guest (in the event applicable) is unable to comply with or violates any health and safety protocols. The prize winner shall be responsible and liable for all acts or omissions of their guests (in the event any) and ensuring their guests comply with all policies, instructions, and requirements of DraftKings and any hotels and/or venues associated with a prize. For clarity, not all prizes will include a guest, and guests are only included/permitted as part of prizes when expressly stated in the prize description.

PRIZE WINNERS AND THEIR GUESTS (IN THE EVENT ANY) REPRESENT AND WARRANT THAT ATTENDING AND PARTICIPATING IN ANY PRIZE OR ASSOCIATED EXPERIENCES AND/OR EVENTS IN PERSON IS WHOLLY VOLUNTARY, AND THAT THEY ARE FULLY AWARE OF THE HAZARDS, DANGERS AND RISKS INVOLVED, INCLUDING SERIOUS INJURY, ILLNESS AND DEATH. PRIZE WINNERS AND THEIR GUESTS (IN THE EVENT ANY) ASSUME THE RISK OF SUCH FACTORS AND OCCURRENCES, AND FURTHER ACKNOWLEDGE, AND ACCEPT THE RISKS ASSOCIATED WITH, OTHER FACTORS AND OCCURRENCES WHICH MAY IMPACT OR AFFECT THEIR SAFETY, INCLUDING, BUT NOT LIMITED TO, THE CORONAVIRUS (ALSO KNOWN AS COVID-19, 2019 NOVEL CORONAVIRUS) PANDEMIC AND OTHER POTENTIALLY RELATED DISEASES, ILLNESSES, VIRUSES, AND CONSEQUENTIAL HEALTH EFFECTS. IN PARTICULAR, PRIZE WINNERS AND THEIR GUESTS (IN THE EVENT ANY) UNDERSTAND AND ACCEPT THE RISK THAT ATTENDING ANY PRIZE RELATED EVENTS OR EXPERIENCES MAY EXPOSE THEM TO COVID-19, WHICH CAN BE SPREAD, AMONG OTHER WAYS, VIA THE AIR, FROM PERSON-TO-PERSON CONTACT AND/OR BY CONTACT WITH CONTAMINATED SURFACES AND OBJECTS. CONTRACTING COVID-19 CAN CAUSE INJURY, ILLNESS, DEATH, AND/OR DISABILITY, AND MAY REQUIRE OR RESULT IN THE NEED FOR MEDICAL TREATMENT AND/OR MAY RESULT IN A NEED TO QUARANTINE FOR A PERIOD OF TIME. PRIZE WINNERS AND THEIR GUESTS (IN THE EVENT ANY) WHO CHOOSE TO PARTICIPATE IN ANY PRIZE RELATED EVENTS OR EXPERIENCES IN PERSON DO SO AT THEIR OWN RISK AND ASSUME FULL RESPONSIBILITY FOR ANY RISK OF BODILY INJURY, DEATH AND/OR ILLNESS ARISING FROM OR IN CONNECTION WITH ATTENDING IN PERSON.

In the event a prize includes a hotel stay, once hotel accommodations have been confirmed by DraftKings, no changes will be allowed except as determined by DraftKings in its sole discretion. Hotel accommodations will be selected by DraftKings and may be subject to additional restrictions, policies, and requirements imposed by the hotel. Prize winners are responsible for all travel costs and fees and are responsible for scheduling, coordinating, and booking their own transportation to and from any prize related events or experiences, including, without limitation, travel to and from airports or the hotel. DraftKings shall have no responsibility or liability for prize winners or their guests (in the event any) transportation. All expenses and incidental travel costs, including, but not limited to, travel costs, meals, passenger tariffs or duties, airline fees, surcharges, airport fees, luggage fees, service charges or facility charges, room services, minibar, entertainment, personal charges, damage to hotel room, security fees, gratuities, taxes, and/or other expenses, are the responsibility of the prize winner.

Each prize winner shall ensure that his or her travel companion(s) (in the event any) follows all rules, policies, instructions, and protocols applicable herein to such travel companions’ conduct. Each prize winner shall be solely responsible for his or her companions’ actions. In the event the prize winner or his/her travel companion(s) engages in behavior that, as determined by DraftKings in its sole discretion, violates these Rules, the Terms of Use, or is obnoxious or threatening, illegal or that is intended to annoy, abuse, threaten, or harass any other person, DraftKings reserves the right to terminate their participation in or attendance at any prize related events or experiences, in whole or in part, terminate the prize, and/or send the prize winner and his/her travel companion(s) home with no further compensation or prizes.

MISCELLANEOUS TERMS AND CONDITIONS

The Terms of Use shall apply to the Program and to these Rules, and the Terms of Use are hereby incorporated herein by reference. These Rules are intended to be a supplement to the Terms of Use and should not be determined to be a substitute or replacement for, or otherwise render inapplicable, the Terms of Use. To the extent that any provision of these Rules conflicts with any provision in the Terms of Use, the provision contained in these Rules shall apply, and the provision contained in these Rules shall be deemed to supersede the conflicting provision contained in the Terms of Use, unless otherwise stated herein. Other than a provision in these Rules that explicitly conflicts with a provision in the Terms of Use, in no way shall these Rules be deemed to replace or nullify any provision contained in the Terms of Use. For the avoidance of doubt, the limitation of liability contained in the Terms of Use shall be deemed to apply to any travel to and from, attendance at, and participation in any prize of the Program.

BY PARTICIPATING IN THE PROGRAM, YOU AGREE TO INDEMNIFY, PROTECT, DEFEND, AND HOLD HARMLESS DRAFTKINGS, ITS PARENTS, SUBSIDIARIES, AND AFFILIATES, AND THE DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, SHAREHOLDERS, OTHER REPRESENTATIVES, AND SUCCESSORS AND ASSIGNS OF EACH OF THE FOREGOING, FROM AND AGAINST ANY AND ALL THIRD-PARTY CLAIMS, LIABILITIES, LOSSES, DAMAGES, INJURIES, DEMANDS, ACTIONS, CAUSES OF ACTION, SUITS, PROCEEDINGS, JUDGMENTS, AND EXPENSES, INCLUDING REASONABLE ATTORNEYS' FEES, COURT COSTS, AND OTHER LEGAL EXPENSES, INCLUDING, WITHOUT LIMITATION, THOSE COSTS INCURRED AT THE TRIAL AND APPELLATE LEVELS AND IN ANY BANKRUPTCY, REORGANIZATION, INSOLVENCY, OR OTHER SIMILAR PROCEEDINGS, AND ANY OTHER LEGAL EXPENSES ARISING FROM OR CONNECTED WITH YOUR PARTICIPATION IN THE PROGRAM OR ANY USE AND/OR ENJOYMENT OF PRIZES, EVENT OR ACTIVITY PARTICIPATION OR TRAVEL ASSOCIATED WITH ANY PRIZES.

The Privacy Notice shall apply to the Program and to these Rules, and the Privacy Notice is hereby incorporated herein by reference. These Rules are intended to be a supplement to the Privacy Notice and should not be determined to be a substitute or replacement for, or otherwise render inapplicable, the Privacy Notice. To the extent that any provision in these Rules conflicts with any provision in the Privacy Notice, the provision contained in these Rules shall apply, and the provision contained in these Rules shall be deemed to supersede the conflicting provision contained in the Privacy Notice unless otherwise stated herein. Other than a provision in these Rules that explicitly conflicts with a provision in the Privacy Notice, in no way shall these Rules be deemed to replace or nullify any provision contained in the Privacy Notice. Your information will be used subject to the Privacy Notice and these Rules. You understand and acknowledge that your Score shall be made public and displayed on the Program leader board and may be used by DraftKings in any other way deemed appropriate by DraftKings for the duration of the Program, and in perpetuity as DraftKings deems fit.

By participating in the Program, you agree to receive communications from DraftKings, subject to opting out when you so desire and in a manner prescribed by DraftKings.

To the extent permitted by applicable law, by entering or participating in the Program, you hereby agree and consent, without further authorization, compensation, or remuneration of any kind, to the editing, modification, replication, publication, and/or other use of your name, likeness, photographs, videos, voice, entries, selections, and the like, in any medium, whether now known or hereafter developed, including without limitation, any and all advertising, promotions, and other publicity conducted by DraftKings, whether in connection with the Program or the development, production, distribution, commercialization, promotion, and/or exploitation of DraftKings or the Program.

Unless expressly stated otherwise, all references to time of day related to the Program refer to the prevailing Eastern Time Zone.

In the event of a Force Majeure Event (as defined below), DraftKings may reschedule, delay, postpone, alter, or modify the Program or a Snapshot Date, or may cancel the Program or a particular Snapshot Date altogether. As used herein, "Force Majeure Event" shall mean the interruption of or material interference with DraftKings' ability to run the program, a particular Snapshot Date, a promotion in connection with the Program, or to grant a prize by any cause or occurrence not within DraftKings' reasonable control, including, but not limited to, fire, flood, epidemic, pandemic, earthquake, explosion, hurricane, terrorist threat or activity, public health emergency (e.g., COVID-19), act of God or public enemy, satellite or equipment failure, riot or civil disturbance, war (declared or undeclared), or any federal, state or local government law, order, or regulation, or order of any court.

DraftKings is not responsible for any website performance issues, including, but not limited to those that result in a delay or prevention of participation in the Program. Prizes from the Program are non-transferable.

The best interests of the Program and fairness are top priorities in decision-making. Unusual circumstances occasionally dictate that common-sense decisions in the interest of fairness take priority over technical rules. DraftKings reserves the right to make reasonable exceptions to these Rules where circumstances so require or warrant. DraftKings shall have discretion to interpret and enforce these Rules, and such interpretation and decisions related thereto are final.
